Terms of Service

By accessing happydivi.com or purchasing any HappyDivi product, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our products or website.

Upon purchasing a valid HappyDivi license, we grant you a non-exclusive, non-transferable, worldwide license to install and use the licensed software on an unlimited number of WordPress websites that you own or manage during the license term.

"Own or manage" means websites you have direct client or employer relationships with. Reselling access to the plugin or sub-licensing to third parties who are not your direct clients is not permitted.

When you purchase any standard HappyDivi license, whether for 1, 10, 20, or unlimited websites, you receive a permanent lifetime license, and you will never be asked to renew or pay an annual fee.

During the entire lifetime of your license, you receive:

• All plugin updates (major and minor)

• Priority email support

Even if you close your account and reopen it later, your license key remains valid and your access to updates and support continues uninterrupted.

Unlimited‑sites Agency license offers an optional 12‑month installment plan (starting at $15/month) for customers who prefer to spread the cost instead of paying $149 upfront.

This is not a subscription. It works like this:

• You pay $15 per month for 12 months ($180 total)

• Your license is active and usable on all unlimited sites from day one, even while you are still completing payments

• After your 12th payment, your license is fully paid off and yours forever

• No more charges after month 12. No renewal invoice.

Once fully paid, your 12‑month installment license converts to the same permanent lifetime status as all other HappyDivi licenses.

Important: If you choose the installment plan but stop making payments before completing all 12 months, your license will be suspended until payments resume. No partial refunds are available for incomplete installment plans.

Because all standard licenses are lifetime (and even the installment plan results in a permanent license), HappyDivi has no auto‑renewals — ever. You will never receive an unexpected renewal charge. If a license is suspended due to non‑payment on an active installment plan, you will be notified by email before any action is taken.

You may not:

• Redistribute, sell, or sublicense the plugin source code or compiled files to any third party.
• Remove or alter copyright notices, license headers, or attribution in source files.
• Use HappyDivi products to build a competing plugin or service without prior written consent.
• Share your license key publicly or with individuals outside your organisation.

All payments are processed by Paddle.com Market Limited, acting as our Merchant of Record. Paddle is responsible for invoicing, VAT collection, and payment processing. Prices are shown in USD and exclude VAT unless otherwise stated. VAT is added at checkout based on your billing address in accordance with applicable law.

HappyDivi and all associated logos, trademarks, source code, and content are the exclusive intellectual property of HappyDivi. Nothing in these terms transfers ownership of any intellectual property to you. The plugin is distributed under a commercial license - not under GPL or any open-source license - except where individual third-party libraries carry their own open-source licenses as noted in the plugin readme.

This section is the canonical license reference for the HappyDivi plugin, as declared in the plugin's own files.

Direct-sale distribution. When you obtain HappyDivi directly from happydivi.com, it is licensed to you under a Proprietary license on the terms set out on this page (see "License grant" and "Restrictions" above), not under the GNU General Public License (GPL) or any other open-source license, except for the third-party components listed below.

Elegant Themes Marketplace distribution. If instead obtained through the Elegant Themes Marketplace, the plugin is licensed under the GNU General Public License v2 or later (GPLv2+), as required by that marketplace's guidelines. The full GPLv2 text ships with that build.

Third-party components. Regardless of distribution channel, the plugin bundles the following open-source libraries under their own licenses.

The software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the software will be error-free or uninterrupted.

To the maximum extent permitted by applicable law, HappyDivi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the products, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim shall not exceed the amount paid by you for the license in question during the 12 months preceding the claim.

We reserve the right to modify these terms at any time. Material changes will be announced via email to active customers and updated on this page with a new "Last updated" date. Continued use of the product after the effective date constitutes acceptance.

These terms are governed by and construed in accordance with the laws of the European Union, without regard to conflict of law principles. Any dispute shall be subject to the exclusive jurisdiction of the competent courts.
